For valuable consideration, and in order to induce Tomatoes Extraordinaire, Inc. DBA Specialty Produce, hereinafter "Specialty Produce", to grant credit to and engage in transactions with , hereinafter "CLIENT", the undersigned, hereinafter "GUARANTOR(S)", agree(s) to the terms and conditions set forth in the Client's APPLICATION FOR CREDIT. If credit is granted to CLIENT, GUARANTOR(S) is/are responsible in full for payment of CLIENT's account with Specialty Produce.

In consideration of Specialty Produce's extension of credit to CLIENT and at the GUARANTOR(S) request, GUARANTOR(S) hereby personally guarantee payment of all of CLIENT's obligations to Specialty Produce, now due and owing or which may become due and owing to Specialty Produce from CLIENT at any time. Each of the GUARANTOR(S) agree that the liability for all sums guarantees shall be a joint and several one. Liability of the GUARANTOR(S) shall not be affected or prejudiced by the additional acceptance of a note or evidence of indebtedness, the extension of time, payment arrangements or other indulgence granted to CLIENT, or by agreement affecting said indebtedness, and the undersigned hereby waive(s) notice of all of the aforesaid.

The filing of suit or exhaustion of collection or legal remedies against said CLIENT shall not be a condition precedent to the enforcement of this guaranty and the GUARANTOR(S) expressly waive(s) demand, presentment for payment, protest, notice of protest and/or diligence. This GUARANTY shall remain in effect until the completion of all transactions between Specialty Produce and CLIENT.

Should collection proceedings be instituted by Specialty Produce, concerning accounts covered by this GUARANTY AGREEMENT, GUARANTOR(S) hereby agree(s) to be responsible for payment of all reasonable collection costs, attorney fees and court costs incurred in said collection proceedings whether or not litigation is instituted. Further, should any other legal dispute arise among the parties, Specialty Produce, CLIENT and/or GUARANTOR(S), the prevailing party shall be entitled to attorney fees and costs. Facsimile, photocopy, electronic and digital signatures will be as valid as an original signature for purposes of this Agreement.
